Our
Charter
Name:
The
name of this non-profit organization will be: Orlando Atlas Lions, Inc. (OAL for short)
Purpose:
The
purpose for which this non-profit organization was created but not
limited
to:
- Promote Moroccan heritage,
customs and culture, which include organization of culture events, such
as sports
tournaments, family picnics, social events, etc.
- Support and assist the Moroccan
Community including orientation, integration, and to build trust and
understanding among us compatriots also towards non-Moroccans, for the
well
being of the Moroccan community as a whole.
Build a healthy and proud Moroccan
community is our ultimate goal.
Communicate and facilitate to
reach these goals. By assisting those who need help, we will open the
door and
pave the way for then and for others who are capable of giving back to
the
community by chipping in and contributing

Not
to forget that all activities of the Orlando Atlas Lions, Inc. shall be
legal under local, state, and federal laws: Most important under
God’s
commands.
Eligibility:
- All officers of the Orlando
Atlas
Lions, Inc. shall possess at least the minimum requirements to serve
and shall
initially be elected by the committee members to a leadership position.
- Titles & Board Members:
- The event job description
won’t be
included so as not to be considered a legal task among the
bylaws. We
can improvise & define tasks and duties among the committee
members.
Selection
Of Officers:
- Active voting membership, who
is
eligible
- Terms: length of office shall
be no
longer than 1
year to begin with, but any officer may be re-elected
- Officers cannot reappoint
themselves for another term they must be re-elected
Officer
Vacancies:
- Any office vacancy shall be filled in a timely manner by a proxy vote of the general assembly
- Should such a proxy vote be impossible, then the remaining officers' vote should suffice
Membership:
- Any officer elected or
appointed by
the Executive Board may be removed by a vote of 2/3 of the eligible
members for
proper cause, or whenever it is in the best interest of the
organization.

In
case of resignation, a new
election shall be called for to fill the vacant position.
Recruitment:
- All officers and members are encourage to recruite members to join the OAL organization
- Neither race, gender nor cultural background shall be a basis for recruiting members
Dismissal:
Misconduct
violations of any previsions of the constitution or ORAL Policies
will constitute a basis for dismissal.
Meetings:

The
President will be in charge of
calling all meetings to order.
- The President shall proceed and
conduct all meetings.
- The secretary will be
responsible
for notifying all members of each meeting at least 48 hours in advance.
- The secretary is responsible for all the meeting minutes and records

Spending
the organizations
money: For the protection of the organization and its members
it is
required that two authorized signatures sign all monetary
transactions.
Only the president, treasurer, and or the committee adviser can be
signers on
the Orlando Atlas Lions, Inc.’s account. Such
expenditures include
supplies, activities, travel expenses and events held by the group.

Officer
Transaction: The
Treasurer will be responsible to pass all information (i.e. the budget)
to
executive committee and as required at meetings.

Dissolution
of Organization:
In the event that the organization ceases to exist, any and all funds
in the
account shall be donated to Orlando Atlas Lions, Inc. or charities of
the
committee members.
Executive
Board:
No
member will be permitted to hold more than one officer position.
All
officers have the right to vote for election or re-election (in
accordance with our voting rules below)
The
officers of the executive board of the Orlando Atlas Lions, Inc. shall
include:
- President
- Vice President
- Treasurer
- Secretary
- Public Relations Officer
Advisers/Officers & Their
Duties:
The
Advisers shall include:

Event
Coordinator:
- In charge of facilitating and
organizing various scheduled social/sporting events, and any other events on as needed basis
- Responsible for communicating
with all the relevant parties on the progress/status of events
- Completes all aspects of event planning including initial planning meetings
- Obtaining the appropriate permissions for use of space through outside agencies, acquiring liability insurance (if appropriate)
- Assist with advertising and donations from local businesses/corporations for all costs associated with the event
- Assist with the creation and maintenance of a database of all participants and donations
- Creating and distributing event announcements to participants/sponsors
- Creating and distributing event instructions for events' assistants/volunteers
- Setup for the events and cleanup after the events
- Creating and distributing thank yous for donations as well as event sponsors or supporters
- Forwarding all proceeds to the OAL
- Other activities as appropriate for any given event may fall under Event Coordinator's duties as needed
- Advising Officer:
- Advises other officers/Advisers on the best approaches to handle issues and events
- Performs any and all supporting duties as needed
- Assists all other officers and adviser on a regular basis
- Assists in the administration of the OAL duties
- Assists in the various OAL documentations
- Constantly & effectively communicates with other officers and adviser on status of his/her duties and tasks
- Other activities as appropriate or/and assigned
- Other Advisers/officers
maybe appointed, agreed upon as needed
Executive
Board Duties:
- The President:
- has
one vote
in the Executive Board decision.
- He or she may, with due
consultation
with the executive Board, appoint committees, its Chairperson, and also
approve
operating and special budgets.
- The president cannot
appoint a
Committee Chairperson without the consent of the Executive Board.
- Other duties as deemed needed and appropriate by the general assembly
- The Vice President: s
- Shall
perform
duties assigned to him or her and perform such other duties as required
by the
Executive Board & Orlando Atlas, Inc. and shall be permitted by
law.
- Assists the President in his or her
duties and
assumes the President’s responsibilities in his or her
absence.
- Other duties as deemed needed and appropriate by the general assembly
- The Treasurer:
- Shall
be the
custodian of any funds, financial records and accounts belonging to the
Orlando
Atlas Lions, Inc.
- Shall keep full and accurate
accounts of
receipts and disbursements in books belonging to the Organization and
shall
deposit all monies or other valuable effects in the name and to the
credit of
the Organization in such depositories as deemed proper or shall be
designated
by the Executive Board.
- Shall perform such
duties and have
such power additional for the foregoing as the Executive Board may
designate
and permits in the by-laws and regulations.
- All disbursement
for any item
exceeding twenty-five ($25) shall be paid by check signed by the
treasurer and
the president of any other person authorized to sign.
- Other duties as deemed needed and appropriate by the general assembly
- The Secretary:
- Shall
organize
all meetings and keep minutes of the organization including the minutes
of the
Executive Board. The secretary calls members to set up
monthly or
quarterly meetings.
- He/She records absent members: note
excused or
unexcused.
- Confers with other officers on a regular basis and keeps the communication appropriate and timely among the officers
- Other duties as deemed needed and appropriate by the general assembly
- Public Relations
Officer:
- In
the name of the OAL, this officer shall communicate and articulate the needs and the objectives of OAL
- He
or she
shall voice the OAL opinions, plans, agendas, etc.
- Confer with the Executive Committee as needed
- He/she is the link between the Orlando Atlas Lions, Inc. and the public
outside.
- Is the spokesperson of the organization and
shall be
responsible for distribution of fliers, e-mails, and all the
communication and other communication matters to the public.
- Other duties as deemed needed and appropriate by the general assembly
Publications:
- Any publications or use of OAL
name, logo or other intellectual assets will require approval from the
officers
of this organization
- After the above approval, any
publications or use of OAL name, logo or other intellectual assets
should be in
compliance of the rules as stated within this document.
- At minimum, the secretary and
the
President must approve all publications, shirts, fliers, etc. prior to
publication distribution of any kind.
Amendments:
- Amendments
to the constitution must be proposed in writing to the
President.
- The amendment must be presented to the
organization during a
scheduled meeting and should include a full explanation and/or rational
for the
amendment.
- The amendments shall not take effect until
approved by a
2/3-majority vote of OAL members.
- Amendments to the constitution must
be
proposed in writing to the President.
